Calvert Impact, Inc., a 501(c)(3) nonprofit (“Calvert Impact”), is the sole member of Climate United. The successful candidate will be employed by Calvert Impact or one of its subsidiaries. Position Overview Climate United Fund, a 501(c)(3) nonprofit (“Climate United”), is seeking an experienced Associate General Counsel – Government Contracts to join our dynamic legal team. This role will provide expert legal advice on a wide range of government contracts issues, including advising on government grants, uniform guidance, cost accounting and cost allowability, subrecipient oversight, compliance, investigations and audits, procurement, administrative and regulatory law, general corporate governance, and other areas pertinent to Climate United Fund. The ideal candidate will have extensive experience in navigating the complexities of UGG as it applies to a federal funding recipient and will play a crucial role in ensuring Climate United Fund adheres to all legal and regulatory requirements. The Associate General Counsel – Government will work closely with other members of the legal team and the compliance team to ensure that Climate United Fund’s operations and investments align with federal regulations, particularly those related to the EPA’s Greenhouse Gas Reduction Fund. Key Responsibilities: 1. General Law and Compliance * Identify and proactively address legal and compliance needs within the organization. * Provide legal advice and counsel on a wide range of government contracts issues, including but not limited to procurement, subrecipient oversight, cost allowability, internal audit and external audit preparation, ethics and conflict of interest. * Negotiate and draft amendments to Climate United’s grant agreement and subaward and subgrant agreements. * Provide training to internal and external stakeholders with respect to grants compliance – including ethics, conflicts of interest and uniform guidance requirements. * Assist in the development and implementation of organizational policies and procedures to ensure legal and regulatory compliance, including working with other internal teams on their implementation of applicably grant requirements. * Collaborate with internal stakeholders, including compliance, investments, and operations, to identify and mitigate compliance risks. * Monitor and analyze changes in federal laws and regulations that may impact the organization. * Manage outside counsel and legal consultants, as needed. 2. Corporate Governance * Provide legal support to the General Counsel on corporate governance matters. * Assist in the preparation and review of board materials, including agendas, resolutions, and minutes, ensuring that all governance processes align with legal and regulatory requirements. * Provide board support including trainings, collecting board disclosures and materials and answering board questions. * Ensure timely and accurate filing of corporate documents, including annual reports, disclosures, and other regulatory filings. Qualifications: * Juris Doctor (J.D.) from an accredited law school. * Active membership in good standing with a state bar. * Self-starter with strong project management skills, capable of independently driving initiatives from concept to completion while managing multiple priorities effectively. * Minimum of 5 years of legal experience focused on government contracts and uniform guidance. * Experience working with or within federal agencies (particularly the EPA) or with federally funded programs and experience from a top tier government contracts firm, is highly desirable. * Strong communication and interpersonal skills, with the ability to work effectively in a collaborative environment. * Demonstrated commitment to climate, community and service.
