Overall objective Office of General Counsel seeks to add an experienced paralegal to our team to provide additional in house legal support to the areas of real estate, contracting, governance, compliance and enterprise activities. principal accountabilities Understand, review and draft real estate documents, Vendor contracts and other bank related documents or Agreements; Conduct legal research; Draft legal correspondence; Litigation support; Coordinate closings with outside counsel for commercial real estate and commercial and industrial lending transactions; Review conveyance and other closing documents for bank owned or leased properties; Reviewing title commitments, ALTA and boundary surveys as needed; Forming, qualifying, amending, reinstating and maintaining bankwide affiliate LLCs, partnerships and corporations; Order authority documents and drafting resolutions and other business organization documents; Review terms and conditions with vendors and customers; Maintain office document retention system for the Office of General Counsel; Participate in the development and maintenance of copyrights and patents; and Other duties as determined by members of Office of General Counsel. Requirements Associate degree in relevant discipline with paralegal certificate, or BA; A minimum of 4+ years of corporate paralegal experience in a law firm or in-house setting; Strong analytical interpretation, communication and multi-tasking skills; Able to reprioritize dynamically, and grow skill set to meet evolving business needs; Proficient with Microsoft Office Suite or related software; Excellent verbal and written communication skills; Understanding of legal language and principles, research methods, court pleadings and processes, and other related matters; Excellent organizational skills and attention to detail; Excellent time management skills with a proven ability to meet deadlines; Ability to maintain confidentiality, and to exercise discretion and good judgment; Assertive, self-motivated, and results oriented; and Notary Public preferred. Physical Demands Operate in a team orientated business environment. Position is located in Middletown CT and in office work arrangement is required. All employees are provided with 4 Community Service days annually and encouraged to use them. Compliance Adheres to applicable federal and state regulations and bank policies and procedures, including OFAC, BSA, PATRIOT Act, Privacy, and consumer protection regulations pertaining to incumbent’s business line.
